End-User License Agreement

READ AND AGREE TO THE TERMS OF THIS EULA BEFORE USING, DOWNLOADING OR INSTALLING ANY SOFTWARE. BY USING, DOWNLOADING OR INSTALLING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS EULA, YOU MAY NOT USE, DOWNLOAD OR INSTALL THE SOFTWARE.

This End-User License Agreement (EULA) is a legal agreement between you (either an individual or entity) and the IVERO company (“Licensor”), which includes computer software and may include associated media, printed materials, and “online” or electronic documentation.

This EULA agreement shall apply only to the Software supplied by Licensor herewith regardless of whether other software is referred to or described herein. The terms also apply to any Licensor updates, supplements and support services for the Software, unless other terms accompany those items on delivery.

Software Product License
1. Definitions
"Software" – software accompanying this EULA, including documentation, online materials and any future updates. Software is being distributed as SharePoint-hosted solution which can be downloaded from the Microsoft App Source or Licensor website and run on the SharePoint platform.
"Trial Version" – a 14-day or 30-day, fully-functional version of the Software installed for evaluating purposes. If you register for a free trial of the Software, this EULA agreement will also govern that trial. To transform the trial into the full version you need to purchase license from our online store.
"Site License" – right to use the Software within a single SharePoint Site (1 app instance). If you want to use the Software on more than 1 app instance, you can purchase more site licenses in our online store.

2. Grant of License
This EULA grants you the following rights:
Installation and Use. You may install the Software on your SharePoint site. To use the Software you will require Internet connectivity and access to the SharePoint platform (SharePoint Online or SharePoint on-premise). The use of the Software does not include the provision and configuration of Microsoft SharePoint.

You are not permitted to:
  • Modify, reverse engineer, decompile, or disassemble the Software
  • Reproduce or copy the Software
  • Use the Software in any way which breaches any applicable local, national or international law


3.Copyright
All title and copyrights in and to the Software Product (including but not limited to any images, photographs, clipart, libraries, and examples incorporated into the Software Product), the accompanying printed materials, and any copies of the Software Product are owned by the Licensor. You must treat the Software Product like any other copyrighted material.

4.Limitation of liability
Licensor's apps operate solely on the SharePoint infrastructure, either on SharePoint Online (Microsoft 365 cloud managed by Microsoft) or on SharePoint on-premises (managed by the customer), and do not utilize any infrastructure managed by the Licensor. Consequently, Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. In no event shall the total liability of Licensor exceed the amount paid by you for the use of the app, with a maximum cap of $5,000. You agree that the above limitations of liability are fundamental elements of the agreement between you and the Licensor, and the app would not be provided to you without such limitations.
Data Security & Privacy

All data is stored on the customer's SharePoint environment (not on Licensor servers). The Licensor acquires no rights in customer data. The app's data is never leaving your SharePoint environment, Licensor doesn't have access to your data and we never see it.
